1. About these terms

These Terms govern your use of the Atelity website, the early-access list, and the test version of the Atelity app (the “Services”). The Services are run by Atelity (“Atelity”, “we”, “us”). By using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services for a company, you confirm that you can bind it to these Terms.

If you do not agree, please do not use the Services.

2. Eligibility

You must be at least 18 years old and able to enter into a binding agreement to use the Services.

3. The early-access program

Atelity is still being built. Joining the list is a request to take part in the early-access program, not a purchase and not a promise.

  • We may choose who is invited and when, and we cannot guarantee you will be invited.
  • Early-access features are provided for testing. They may be incomplete, contain errors, change, or be withdrawn, and may cause loss of data. Please do not rely on the app as the only copy of anything important.
  • We may change, pause, or end the program at any time.

4. Your account

If you receive access to the app, you must give accurate information and keep your login details secure. You are responsible for activity on your account. Tell us at hello@atelity.com straight away if you think your account has been compromised.

5. Your content

“Your Content” means what you add to the Services, including voice recordings, notes, photos, profile information, and the information you enter about other people.

You own it. We do not claim ownership of Your Content.

Our licence to it. You give us a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, and display Your Content only as needed to operate, secure, and improve the Services for you, as described in the Privacy Policy. The licence ends when Your Content is deleted from our systems, except for backup copies that expire on a normal schedule and de-identified information.

Your promises. You confirm that you have the rights and permissions needed to add Your Content and let us process it.

6. Other people’s information and recordings

When you add information about other people or record a conversation, you are responsible for:

  • following the laws that apply to recording conversations, including getting consent where required;
  • having a lawful basis to store their information; and
  • using it only for your own professional relationship management, never to harass, deceive, or harm them.

7. Acceptable use

You must not:

  • break the law or anyone’s rights, including privacy and intellectual property rights;
  • upload content that is unlawful, defamatory, harassing, hateful, or sexually explicit;
  • use Atelity to send spam or unsolicited bulk messages;
  • scrape, copy, or extract data from the Services by automated means, or build a competing product from them;
  • reverse engineer, decompile, or try to discover the source code or models behind the Services;
  • interfere with, overload, or try to gain unauthorised access to the Services or other users’ accounts;
  • upload malware, or bypass security or access controls;
  • resell or sublicense the Services without our written permission; or
  • use the Services in any way not allowed by these Terms.

8. AI-generated output

Atelity uses AI to produce transcripts, summaries, suggestions, and drafted messages. These can be inaccurate, incomplete, or out of date. They are not professional, legal, financial, or investment advice. You are responsible for checking them and for what you send or decide based on them.

9. Feedback

We welcome your ideas. If you give us feedback or suggestions, you give us the right to use them freely and without payment to improve Atelity, and you do not get any rights in the product because of it. This does not apply to Your Content.

10. Our intellectual property

The Services, including their design, text, illustrations, software, and brand, belong to Atelity or its licensors and are protected by law. We give you a limited, personal, non-transferable, revocable right to use the Services as these Terms permit. You may read the site and share links to it, but you may not copy its content into another product or present it as your own.

11. Third-party services

The Services may rely on or link to third-party services, such as sign-in providers, AI and transcription providers, and calendar or email tools. We are not responsible for them, and your use of them is subject to their own terms.

12. Paid features

The early-access program is free. If we introduce paid plans, their prices and terms will be shown to you before you pay, and you will not be charged without your agreement.

13. Disclaimers

The Services are provided “as is” and “as available”. To the fullest extent the law allows, we do not make any promise that the Services will be uninterrupted, error-free, secure, or suitable for your needs, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. This applies with extra force to early-access features.

14. Limitation of liability

To the fullest extent the law allows, Atelity and our team, affiliates, and licensors will not be liable for any indirect, incidental, special, or consequential loss, including lost profits, lost opportunities, lost data, or business interruption, arising from your use of the Services.

Our total liability to you for any claim related to the Services will not exceed the greater of $10 (or its equivalent in Naira) or the amount you paid us in the 6 months before the claim.

Nothing in these Terms limits liability that cannot be limited under Nigerian law, including for fraud, or for death or personal injury caused by negligence.

15. Indemnity

You agree to cover our reasonable losses and legal costs arising from a third-party claim caused by your breach of these Terms, Your Content, or your violation of the law or another person’s rights.

16. Suspension and termination

You can stop using the Services at any time, and you can ask us to delete your account. We may suspend or end your access, with or without notice, if you breach these Terms, if we need to protect the Services or other users, or if we end the program. Sections that should reasonably survive termination, such as ownership, disclaimers, liability, and disputes, will continue.

17. Changes to these terms

We may update these Terms as the product and program develop. We will update the “Last updated” date and, if the changes are material, tell you by email or a notice on the site. Using the Services after a change means you accept it.

18. Disputes and governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, please contact us first at hello@atelity.com and give us 30 days to try to resolve it informally. If it is not resolved, the courts of Nigeria will have jurisdiction.

19. General

Force majeure: we are not responsible for delays or failures caused by events beyond our reasonable control, such as power or internet outages, natural disasters, strikes, or government action.

Severability: if any part of these Terms is unenforceable, the rest stays in effect.

No waiver: if we do not enforce a right, we have not given it up.

Assignment: we may transfer these Terms as part of a sale or restructuring. You may not transfer them without our written consent.

Entire agreement: these Terms and the Privacy Policy are the whole agreement between you and us about the Services.
